shareholders' agreement

shareholders' agreement n. an employment agreement among the shareholders of a small corporation permitting a shareholder to take a management position with the corporation without any claim of conflict of interest or self-dealing against the shareholder/manager. Such agreements are common when there are only three or four shareholders.

General Finance Corporation ("General Finance", "Company" or "GFN") (NASDAQ: GFN) (NASDAQ: GFNCW) (NASDAQ: GFNCU) today announced that it entered into an amendment to a Stockholder Agreement that authorizes two directors and a mezzanine debt investor to purchase additional shares of General Finance common stock earlier than was permitted under the original Stockholders Agreement.
The Company will file the full text of the stockholder agreement with the Securities and Exchange Commission.
Belzile was appointed as a Rite Aid director June 4, 2007 pursuant to board representation rights granted to the Jean Coutu Group under the stockholder agreement in connection with the completion of the Brooks Eckerd transaction.
