BTS has agreed to pay $2 million in stock and $18 million in cash for the two companies, with an earn-out maximized at $4 million to be paid if profitability targets are net in 2006 and 2007. Features include maximized crumb production, more production output with less energy use, a design engineered for less down time and lower maintenance costs, a small footprint with more installation flexibility, and reduced weight. It could be argued that they have an obligation to the taxpayers and the plans they represent that the value of the stock is maximized. |
