The offering is expected to close on Friday, September 29, 2006, subject to customary closing conditions contained in an underwriting agreement entered into between the parties. The consummation of the underwriting will be subject to the satisfaction by the Selling Stockholders of certain conditions contained in the underwriting agreement.
